Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mitoro application and related services (collectively, the "Service") provided by Mitoro ("we," "our," or "us"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Mitoro is a macOS desktop application that enables you to control Ableton Live using natural-language chat. Your prompts are sent to a cloud service that uses Anthropic's Claude API to generate corresponding Ableton Live actions. The Service is provided on a subscription basis.

2. Account Responsibilities

You must provide accurate and complete information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@mitoro.io if you suspect unauthorized access to your account. You must be at least 18 years old to use the Service.

3. Subscription and Billing

Access to Mitoro requires a paid subscription. By subscribing, you authorize us to charge the applicable subscription fees to your payment method through Stripe, our third-party payment processor.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at support@mitoro.io. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued unless required by applicable law. We reserve the right to change subscription pricing with reasonable notice to you.

You are responsible for any taxes applicable to your subscription. Stripe handles payment processing and their terms and privacy policy apply to all payment transactions.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property or other rights of any third party.
• Transmit harmful, offensive, or unlawful content.
• Attempt to reverse engineer, disassemble, or derive the source code of the Service.
• Use automated means to access or scrape the Service beyond normal application use.
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent.
• Interfere with or disrupt the integrity or performance of the Service.

5. Intellectual Property

The Mitoro name, logo, software, and all content we provide through the Service are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond the limited license to use the Service for its intended purpose.

You retain ownership of any content you create using Ableton Live via the Service. You grant us a limited license to process your prompts solely to operate and provide the Service.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. USE OF THE SERVICE IS AT YOUR SOLE RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms or for any other reason at our discretion, with or without notice. You may terminate your account at any time by canceling your subscription and contacting us. Upon termination, your right to use the Service ceases immediately. Sections 5 through 11 of these Terms survive termination.

9. Changes to Terms

We may revise these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
